Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Teres Consulting, a direct marketing agency. By engaging our services, you agree to be bound by these Terms.

1. Services Provided We provide direct marketing services including but not limited to email marketing, SMS marketing, campaign management, lead generation, and market analysis. Specific deliverables will be outlined in individual agreements or proposals.

2. Client Responsibilities Clients agree to:

• Provide accurate and complete information required for the delivery of services.
• Respond to requests for feedback and approvals in a timely manner.
• Ensure that their marketing content complies with applicable laws and regulations.

3. Payment Terms Fees and payment schedules are defined in the service agreement. Invoices are payable within 10 days. Late payments may incur interest charges of 5% per month.

4. Intellectual Property Unless otherwise agreed, all materials created by us during the provision of services remain our property until full payment is received. Upon payment, intellectual property rights may be transferred to the client as agreed in writing.

5. Confidentiality Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of the engagement.

6. Compliance with Laws Clients are responsible for ensuring that their marketing activities comply with all applicable laws, including data protection and privacy regulations (e.g., GDPR, CAN-SPAM Act).

7. Termination Either party may terminate the agreement with [X] days written notice. Upon termination, all outstanding fees for services rendered are due immediately.

8. Limitation of Liability To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services.

9. Amendments We reserve the right to modify these Terms at any time. Clients will be notified of material changes.

10. Governing Law These Terms shall be governed by the laws of Massachusetts, United States.
